ويستند الطلب على بيان قانوني مؤرخ 21 نوفمبر 2018 والتحقق من شهادة خطية في نفس التاريخ من قبل أدريان لويس، مدير مقدم الطلب.

رد مقدم الطلب من خلال رسالة مؤرخة في 26 سبتمبر، 2018 & # xA0؛ لست بحاجة إلى الدخول في تفاصيل الرد المذكور إلا أن أشار إلى أن مقدم الطلب أشار إلى أنه تم معاملته بشكل غير عادل من قبل المدعى عليه. & # xA0؛ غير أن المستجوب لم يتم مع مقدم الطلب ومن خلال رسالة مؤرخة في 13 أكتوبر 2018 تم تعليق رخصة مقدم الطلب. & # xA0؛ الرسالة المذكورة في جزء منها:
& # x201C؛ وفي هذا الصدد، نلاحظ أن فترة الإشعار من 30 يوما تعطى لكابيتال هيل فوركس مكتب المحدودة لاستعادة الودائع التي لا تحمل الفائدة إلى المستوى القانوني من 30،000 دولار أمريكي انتهت في 12 أكتوبر 2018 والمكتب لم استعادة الودائع التي لا تحمل فائدة إلى المستوى القانوني كما هو مطلوب. & # xA0؛ وبناء على ما سبق ووفقا للقسم 33D من قانون بنك كينيا المركزي (كاب 491) يخطر البنك المركزي الكيني بموجبه كابيتال هيل فوريكس بوريو ليميتد أن ترخيص المكتب قد تم تعليقه لمدة تسعين (90) يوما اعتبارا من 13 أكتوبر، 2018. & # xA0؛

عارض المدعى عليه الطلب من خلال شهادة خطية أقسمت في 31 يناير 2018 من قبل مديره المسؤول عن قسم مراقبة مكتب الفوركس، السيد سيلفستر شيرويوت ساو. & # xA0؛ قضية المدعى عليه & ق؛ هو أنه في الاضطلاع بولايته، فإنه تجري بانتظام عمليات تفتيش لجميع مكاتب الفوركس في كينيا من وقت لآخر لضمان الامتثال لتوجيهات مكتب الفوركس. & # xA0؛ من خلال الإفادة بالرد، أبلغ المستفتى المحكمة أنه في 20 و 21 فبراير 2007 أجرى تفتيشا على عمليات مقدم الطلب التي كشفت عن المخالفات بما في ذلك عدم تعيين وتعيين مسؤول رئيسي لفحص من قبل المدعى عليه، والعديد من نقاط الضعف في الرقابة الداخلية، وعدم وجود سياسة واضحة بشأن تدريب الموظفين وتطويرهم، وعدم وجود غطاء تأميني كاف لليوم و # xA0؛ وكان مقدم الطلب من خلال رسالة مؤرخة 14 مارس 2007 أبلغت نتائج التفتيش وتوجيهها لضمان الامتثال مع الفوركس B أوريو غدلينس. & # xA0؛ رد مقدم الطلب على رسالة مؤرخة 11 مايو 2007 توضح الخطوات التي اتخذها لمعالجة الانتهاكات.
مرة أخرى في 5 فبراير 2009 أجرى المدعى عليه تفتيشا آخر وجد مودع الطلب مذنبا بانتهاكات مختلفة للمبادئ التوجيهية للمدعى عليه. & # xA0؛ وكان مقدم الطلب مرة واحدة على علم بهذه الانتهاكات.
تم إجراء تفتيش ثالث في 6 مايو، 2018 ووجد مرة أخرى أن مقدم الطلب قد خرق المبادئ التوجيهية. & # xA0؛ هذه المرة عقوبة على كش. تم فرض 500،000 / = على مقدم الطلب. & # xA0؛ دفع مقدم الطلب العقوبة التي فرضها المدعى عليه.
أما التفتيش الرابع فهو موضوع إجراءات المراجعة القضائية هذه. & # xA0؛ وقد تم تنفيذه في مايو / أيار 2018 وأدى إلى إصدار الرسالة المؤرخة 13 أكتوبر 2018 & # xA0؛ ويدعي المجيب أنه حتى بعد استلام رسالة مؤرخة في 13 أكتوبر 2018 م علقت عملياتها، واصل مقدم الطلب أعماله، وفي 10 و 17 نوفمبر 2018، تمكن المدعى عليهم من إجراء معاملات في مكاتب مقدم الطلب & # xA0؛ في 17 نوفمبر / تشرين الثاني 2018 قدم المستفتى إشعار مقدم الطلب بأنه سوف يلغي ترخيصه خلال 14 يوما. & # xA0؛ إن قضية المدعى عليه & # x9؛ s أن مقدم الطلب لم يكشف هذه المعلومات إلى المحكمة. & # xA0؛ أن مقدم الطلب كان مخالفا للمبادئ التوجيهية واللوائح ويهدف هذا التطبيق إلى إعاقة ذلك من تنفيذ ولايتها القانونية. & # xA0؛ ومن المدعى عليه & # x؛ s ق القضية أن مقدم الطلب قد عولجت بنزاهة في جميع الأوقات المادية.
وبالنظر إلى المواد المعروضة على المحكمة، أجد أن القضية الوحيدة التي تحددها هذه المحكمة هي ما إذا تجاوز المدعى عليه سلطاته أو تصرف بطريقة تعسفية.
المادة 57 من قانون مصرف كينيا المركزي، كاب. 491 يعطي السلطة للمدعى عليه لجعل اللوائح على النحو التالي: -
& # x201C؛ 57 & # xA0؛ (1) يجوز للبنك أن يضع لوائح لغرض تنفيذ أحكام هذا القانون وبشكل عام من أجل تحسين تنفيذ أهداف البنك بموجب هذا القانون.
(2) مع عدم الإخلال بعمومية البند (1)، يجوز للبنك، في الأنظمة، فرض عقوبات يدفعها المتعهدون المعتمدون الذين يفشلون أو يرفضون الامتثال لأي توجيهات أو توجيهات يصدرها المصرف المركزي بموجب هذا القانون، لا يتجاوز خمسمائة ألف شلن في حالة الوكيل المعتمد أو مئتي ألف شلن في حالة الشخص الطبيعي ويجوز له أن ينص على عقوبات إضافية لا تزيد على عشرة آلاف شلن في كل حالة عن كل يوم أو جزء منها، الفشل أو الرفض مستمر. & # x201D؛
وفي إطار ممارسة تلك الصلاحيات، أجرى المدعى عليه لوائح مصرف كينيا المركزي (أعمال الصرف الأجنبي)، 2007 فيد نوتيس & # xA0؛ نو. 62 لعام 2007، وقانون بنك كينيا المركزي (مكتب الصرف الأجنبي) (العقوبات)، 2009 فيد إشعار قانوني رقم 82 لعام 2009 وإرشادات مكتب الفوركس 2018 & # xA0؛ وبموجب الفقرة 3 من الإشعار القانوني رقم 62 لعام 2007 يتم توفير رأس المال الأساسي الأدنى بالكلمات التالية: -
& # x201C؛ (3). الحد الأدنى لرأس المال الأساسي.
(1) لا تصدر شركة تقدم طلبا للحصول على ترخيص من مكتب صرف العملات الأجنبية برخصة إلا إذا كان لديها رأس مال أساسي أدنى قدره ثلاثين ألف دولار أمريكي أو ما يعادله في شلن كينيا.
(2) يحتفظ بالحد الأدنى لرأس المال الأساسي المنصوص عليه في المنطقة دون الإقليمية (1) اعتبارا من تاريخ بدء العمليات وفي جميع الأوقات أثناء أي عمليات تجارية لمكتب صرف أجنبي مرخص. & # x201D؛
ويرد في الفقرة 4 (3) من هذه اللائحة ما يبدى شرطا لهذه الفقرة على النحو التالي:
& # xA0؛ & # x201C؛ يتعين على كل مكتب صرف أجنبي مرخص له قبل بدء هذه اللوائح والذي دفع إيداعا لا يحمل فائدة قدره خمسة آلاف دولار أمريكي زيادة الإيداع المدفوع إلى عشرة آلاف دولار أمريكي ضمن سنة واحدة من بدء هذه اللوائح. & # x201D؛
ومن وجهة نظري فإن الشركات هي التي ظهرت إلى حيز الوجود بعد أن تم وضع اللوائح المذكورة، والتي كان من المتوقع أن يكون لها رأس مال أساسي بحد أدنى قدره 30،000 دولار أمريكي. & # xA0؛ مكاتب فوركس، مثل مقدم الطلب، والتي كانت قيد التشغيل قبل ومن المتوقع أن تزيد اللوائح التنظيمية لعام 2007 من الحد الأدنى لرأس المال الأساسي من 5000 إلى 10 آلاف دولار أمريكي؛ و # xA0؛ ولا يمكن أن يسود هذا الموقف إلا إذا كان مكتب العملات الأجنبية على الجانب الصحيح من القانون. & # xA0؛ الفقرة تمنح المادة 6 (3) من اللوائح سلطة المدعى عليه زيادة الودائع التي لا تحمل فائدة بمجرد أن يجد مكتبا في سوق الفوركس مذنبا بانتهاك القواعد / المبادئ التوجيهية للمدعى عليه.
ينشئ الإشعار القانوني رقم 82 لسنة 2009 من خلال الفقرة 2 انتهاكات على النحو التالي:
& # xA0؛ & # x201C؛ (2). ويشكل ما يلي مخالفات من قبل مكتب صرف أجنبي أو شخص من المبادئ التوجيهية أو توجيهات البنك بموجب القانون الذي يخضع لتقييم العقوبات المالية.
(أ) فشل مكتب الصرف الأجنبي في & # x2018؛
(1) تقديم حسابات مدققة سنوية ونسخة من تقرير مراقب الحسابات في النموذج المحدد إلى البنك في غضون ثلاثة أشهر بعد نهاية سنته المالية.
(3) الامتثال للقانون أو إرشادات مكتب الفوركس أو أية إرشادات أو توجهات أخرى قد يصدرها البنك من وقت لآخر؛
(4) تقديم تقارير دورية دقيقة وعودة إلى البنك.
) 5 (احلفاظ على احلد الأدنى للرصيد البالغ 2 األف دولر اأمريكي اأو اأي مبلغ اآخر يحدده البنك مع البنوك املرخسة.
) 6 (احلفاظ على احلد الأدنى من متطلبات راأس املال املقررة من قبل البنك.
(7) الحفاظ على نظام سليم لإدارة المعلومات لتسهيل نشر المعلومات؛
(8) تسجيل جميع المعاملات المتعلقة بشراء وبيع العملات الأجنبية بدقة؛
(ب) القيام بأعمال تجارية بطريقة يرى البنك أنها غير آمنة أو غير سليمة؛
(ج) القيام بأعمال الصرف الأجنبي عن طريق وكيل أو مرشح؛
) د (نقل ملكية الأسهم أو تغيير الإدارة في مكتب صرف العملات الأجنبية دون الحصول على موافقة خطية مسبقة من البنك.
(ه) الاستعانة بموظف صرف أجنبي لم يتم فحصه والموافقة عليه وتسجيله من قبل البنك؛ أو.
(و) الحفاظ على حسابات العملات الأجنبية بأكثر من العدد المقرر من البنوك المرخص لها. & # x201D؛
في الرسالة المؤرخة 20 يونيو 2018، أبلغ مقدم الطلب بانتهاكات محددة لمبادئ مكتب الفوركس (2018). & # xA0؛ تم توثيق تسعة انتهاكات. & # xA0؛ الفقرة 6.0 من إرشادات مكتب الفوركس 2018 تنص على تدابير علاجية. & # xA0؛ وتشير الفقرة 6.1 تحديدا إلى العقوبات. & # xA0؛ وبموجب الفقرة 6.1 (أ) ينص على ما يلي:
